TERMS OF SERVICE

1. Acceptance of Terms

By installing, accessing, or using any software applications, tools, or services provided by ATLAS ECOMMERCE PTY LTD (collectively, the "Services" or "Apps"), you agree to be bound by these Terms of Service. If you are using the Services on behalf of a business, that business accepts these terms. These terms are governed by the laws of Queensland, Australia.

2. Description of Service

ATLAS ECOMMERCE PTY LTD develops software applications designed to assist Shopify merchants with store optimization, internal linking (e.g., Catalinks), architecture, and marketing operations. We provide the technical infrastructure and software functionality; we do not provide bespoke consulting, manual implementation, or agency services as part of standard software subscriptions.

3. No Guarantees or Warranties (Traffic, SEO & Revenue)

The Services are provided on an "as is" and "as available" basis. ATLAS ECOMMERCE PTY LTD makes no guarantees regarding the performance of your website, its ranking on search engines (such as Google or Bing), or financial outcomes.

Specifically, you acknowledge and agree that:

  • No SEO Results: We do not guarantee that the use of our Services will result in improved search engine rankings, increased organic traffic, or faster indexation.

  • No Revenue Growth: We do not guarantee any increase in sales, conversion rates, or revenue resulting from the use of our tools.

  • External Volatility: Search engine algorithms, third-party platform rules, and consumer behaviors are external to our Services and subject to change without notice. We are not responsible for any "penalties," drops in ranking, or account suspensions that may occur following changes to external search engine policies.

4. Limitation of Liability

To the maximum extent permitted by law, and subject to any non-excludable consumer guarantees under the Australian Consumer Law (ACL), ATLAS ECOMMERCE PTY LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or data.

  • Business interruption or store "downtime."

  • Any damage to your Shopify store's theme, code, or site structure resulting from the use or misuse of our Applications.

In no event shall our total liability for any claims under these terms exceed the total amount paid by you to us for the use of the specific App giving rise to the liability during the twelve (12) months immediately preceding the event.

5. Merchant Responsibilities

You are solely responsible for:

  • Configuration: Ensuring that the settings, rules, links, and triggers you configure within our Apps are accurate and point to valid URLs.

  • Compliance: Ensuring your use of our software complies with Shopify's Acceptable Use Policy, applicable privacy laws, and general search engine webmaster guidelines.

  • Backups: Maintaining backups of your store's theme and catalog data before making significant structural changes via our Services.

6. Intellectual Property

All rights, title, and interest in and to the Services (including code, algorithms, design, and branding) are and will remain the exclusive property of ATLAS ECOMMERCE PTY LTD. You are granted a limited, revocable, non-exclusive, and non-transferable license to use the Application(s) solely for the duration of your active, paid subscription.

7. Fees and Billing

Billing is handled securely through the Shopify Billing API. All fees are non-refundable unless otherwise required by law or specified by Shopify's platform policies. Failure to pay subscription fees will result in the immediate suspension of the App's functionality and the removal of injected code or rules from your storefront.

8. Modifications to Service

We reserve the right to modify, suspend, or discontinue any part of our Services at any time. We will provide reasonable notice of any material changes that would significantly impact your store's functionality.

9. Governing Law

These terms are governed by and construed in accordance with the laws of Queensland, Australia. You irrevocably submit to the exclusive jurisdiction of the courts in that State for the resolution of any disputes.
